Tauzeef shall make available candidates as requisitioned, in this connection The Client shall provide Tauzeef with detailed description of the target position in accordance to the attached Client Briefing Form, and to these terms of business that regulate the basis which Tauzeef for Human Resourcing introduces candidates to the Client and they are deemed to be accepted by the Client upon the Client's receipt of details of candidates or to commence a recruitment assignment or agreement to interview or offer of employment to any candidate whose details are submitted to the Client by Tauzeef.
In these terms of business the following definitions are used unless the context otherwise requires.
"Client" means the person, firm or corporate body requiring the service of Tauzeef
"Target position" means The nature of the Target Position’s which needs to be filled by an appropriate candidate through a process of search, selection and recruitment including Title of Target Position, responsibility, scope of authorities, reporting relations, required professional skills and candidate’s required profile including preferred cultural background, language aptitude, age, etc.
"Candidate" means a person who may be suitable for a position with the client or whom the client may wish to be introduced to.
"Engagement" means the acceptance by a Candidate, either orally or in writing of an offer of a position to the candidate whether or not that position is the same to which the interview related and whether the offer is oral or in writing.
"Fee" means the percentage of the Recruitment Package which is payable by the Client to Tauzeef for the introduction of the candidate as set out in the fee structure.
"Remuneration" means the aggregate gross annual salary payable to or receivable by a Candidate (Monthly basic salary, Housing allowance -cash or in kind- and transportation allowance- cash or in kind-).
These terms of business are the complete and only terms of business between the two parties. No variations to the terms of business shall be effected unless confirmed in writing and signed by the General Manager of Tauzeef.
The Client shall be solely responsible for satisfying itself as to the proficiency and integrity of a Candidate and shall be responsible for taking up any reference and for arranging all medical and other examination on the introduction of any candidate to the Client. Tauzeef will not accept any liability for any loss, costs, expenses, damage or delay however occasioned which the Client, its servants, agents, clients or others may suffer or become liable for arising out of or in connection with the introduction to or employment by the Client of any Candidate.
Fee Structure and Terms of payment
The following fee structure will apply in respect of any instruction received from the Client regarding any engagement or proposed engagement:
The Client shall pay the fee, in accordance with the agreed fee structure, within 10 days of invoice.
For retained assignments, the initial fee is payable on acceptance of the assignment, the second stage is payable on presentation of the short list (or 3 weeks after commencement of the assignment) and the completion fee adjusted to reflect finally agreed salary package when appointment has been made.
If Tauzeef successfully identifies the candidates which meet with Clients requirement based on the detailed job profile and Client Briefing Form provided by the Client but subsequently rejected by the client for personal traits then Tauzeef will:
a. Submit another 3 short listed candidates, or
b. Refund the second stage fee
In the event that a candidate introduced by Tauzeef is rejected by the Client or rejects the Client's offer of employment and is subsequently employed by the Client, in any capacity within 12 months of the original introduction then such engagement shall be an engagement within the terms hereof and the fee shall be payable by the Client in accordance with these terms of business.
The client shall notify Tauzeef immediately after its offer of engagement to the candidate has been verbally accepted and shall provide details of the full remuneration package to Tauzeef within one working day.
In the event the Client effects an introduction of any candidate originally introduced to it by Tauzeef to any third party which results in the employment of the candidate by the third party within 12 months of the initial introduction date by Tauzeef then the fee shall be payable by the Client as if the engagement has been within the terms hereof.
The Client will have the final authority for employment and that of selection, which satisfies the requirements of the client for all intents and purposes.
The term of this Agreement shall be one year from the date first above written and is automatically renewed for a similar period unless the Client inform Tauzeef of the contrary, in writing, one month a head of the end of this agreement
Tauzeef has agreed and undertaken to keep secret and confidential all information and documentation which have already been provided to them or which may in future be provided, whether orally or in writing by virtue of the recruitment process for both of The Client and the candidates. Tauzeef shall limit the circulation of such information only to such persons who reasonably require access thereto and it shall inform them of the confidential nature of such information and shall direct them to such information as confidential.
All documents and any written information which come to Tauzeef from the Client or the candidates by virtue of the recruitment process will remain the property of Tauzeef, including all copies, photocopies, diskettes, etc.
